Company Secretary, Legal & Co-Sec – Jersey
The role holder will take primary responsibility for the Jersey company secretarial function, ensuring that the relevant companies and committees comply with all areas of corporate governance, laws and regulations. They will also support other locations across the group on an ad-hoc basis.
- Work with and support the CEO, Chair and Managing Director;
- Manage the day to day governance arrangements of the Jersey boards (regulated and unregulated) and all related committees;
- Ensure that the governance framework and any supporting policies and procedures are clearly documented and maintained;
- Assist the Jersey boards and committees function effectively and in accordance with their terms of reference, constitutional documents and best practice;
- Build and maintain effective working relationships with key stakeholders (internal and external);
- Prepare, implement and maintain a corporate calendar;
- Arrange meetings of the directors, shareholders and committee members (including issuance of notices of meetings, preparation of agendas and circulation of all relevant papers);
- Produce minutes of meetings to record the business transacted and decisions taken;
- Following meetings, pursue and manage all follow up actions and reports on matters arising;
- Maintain the statutory books and records;
- Ensure all relevant jurisdictional filings are completed on time and in good order;
- Assist directors to comply with relevant local legislation and constitutional documents and other relevant agreements.
- Keep up to date with regulatory and statutory changes;
- Maintain the conflicts of interest register and record declarations / conflicts of interest of directors / committee members;
- Be an effective communicator – act as a link between the boards / committees and the business;
- Provide support to the boards and committees on projects;
- Assist with / attend to the signing of contracts and other documentation in connection with administrative matters;
- Ensure that all work is conducted in accordance with internal policies and procedures and contribute to the development of procedures where appropriate;
- Keep an up-to-date awareness of industry issues;
- Keep up-to-date with technology and business tools relevant to the role;
- Proactively contribute to the development of precedents;
- Monitor performance against personal and development targets.
Skills & Experience
- Strong attention to detail and can write clearly and concisely;
- Knowledge of company law and governance requirements and expectations in a regulated environment;
- Excellent communication and organisational skills;
- At least 5 years’ experience working in a similar organisation and role.
- A suitable professional qualification (ICSA) or be part qualified and working towards the completion of final exams.
